Terms and Conditions - Stellar Trust

For the provision of services by Stellar Tourism Innovations GmbH, Immanuelkirchstraße 37, 10405 Berlin, Email: philipp@stellar-trust.com (hereinafter referred to as "Contractor") to their customers (hereinafter referred to as "Client")

1. General

1.1 These General Terms and Conditions (T&C) for the provision of services apply to contracts concluded between the Client and the Contractor under the inclusion of these T&C.

1.2 The Contractor is entitled to subcontract the required services in its own name and on its own account to subcontractors, who may in turn also employ subcontractors. The Contractor remains the sole contractual partner of the Client.

1.3 The Contractor does not recognize T&C of the Client that deviate from these conditions – subject to express consent.

2. Subject Matter and Scope of Services

2.1 The Contractor provides the following services for the Client as an independent contractor:

Review of vacation rental agencies, property owners, awarding of badges. Provision of Software-as-a-Service (SaaS) services.

2.2 The specific scope of services is subject to individual agreements between the Contractor and the Client.

2.3 The Contractor will provide the contractually agreed services with the greatest possible care and according to the latest standards, rules and findings.

3. Cooperation Obligations of the Client

The Client is obligated to provide all information, data and other content necessary for the fulfillment of the service completely and correctly. The Contractor is in no way responsible for delays and late deliveries in service provision that are due to delayed and necessary cooperation or support from the customer.

4. Remuneration

4.1 Remuneration will be individually agreed upon.

4.2 Remuneration is due after the services have been provided. If remuneration is measured by time periods, it is due after the expiration of each time period (§ 614 German Civil Code).

4.3 After providing services, the Contractor will send an invoice to the Client by mail or email (e.g., as PDF). Remuneration is due for payment within 14 days after receipt of the invoice.

5. Liability / Damages

5.1 The Contractor has unlimited liability for any legal reason in case of intent or gross negligence, in case of intentional or negligent injury to life, body or health, due to a guarantee promise or due to mandatory liability.

5.2 The Client indemnifies the Contractor against all claims by third parties that are asserted against the Contractor due to violations by the Client of these contractual conditions or applicable law.

6. Contract Duration and Termination

6.1 The contract duration and the deadlines for ordinary termination are individually agreed upon by the parties.

6.2 The right of both parties to extraordinary termination of the contract for important cause remains unaffected.

6.3 Upon termination of the contract, the Contractor must either return or destroy all documents and other content provided to him at the Client's choice immediately.

7. Confidentiality and Data Protection

7.1 The Contractor will treat all processes that become known to him in connection with the assignment strictly confidentially.

7.2 The Contractor undertakes to comply with all data protection provisions – in particular the provisions of the General Data Protection Regulation and the Federal Data Protection Act – when executing the assignment.

8. Final Provisions

8.1 German law applies, excluding UN sales law.

8.2 Should a provision of these T&C be or become invalid, this does not affect the validity of the remaining T&C.

8.3 Buyer protection is defined as follows: As a booker, you are responsible for only booking through channels that are officially recognized by the Stellar-certified website.

8.4 Please note the policies of our insurance providers. Stellar Tourism Innovations GmbH only sells insurance policies from Hiscox and is not itself an insurance company.

8.5 Termination rights – We reserve the right to terminate any contract without further notice if we detect fraudulent behavior.

8.6 Any company or individual using our badge fraudulently is liable for all damages.

8.7 The guarantee contract of Stellar Tourism Innovations is subject to German law. Place of performance and jurisdiction is Berlin.
